A structured starting point for a lawyer, not an agreement anyone is bound by. It captures how Numal is intended to work so the commercial logic is clear before the legal language is written. Items in [brackets] are open decisions. Do not publish this as your terms of service.

1. Who these terms are between

These terms are between [registered entity] and the person or business using Numal. Employees and businesses each accept them, and some sections apply only to one or the other.

Numal is not a party to the employment relationship between a business and its staff, and does not employ anyone who joins as an employee user.

Posting is voluntary

Nothing here obliges you to post. You choose which videos are submitted, and you can unlink your account at any time. Videos already paid stay paid.

Your account stays yours

Linking an account gives Numal permission to read the data described in the privacy policy. It does not transfer ownership, licence your content to your employer, or give anyone else the ability to post as you.

Fees are charged to the business. No fee is deducted from an employee's payout. Subscriptions may be cancelled at any time and run to the end of the paid month.

7. Tax

Numal does not give tax advice. How these payments should be treated depends on where you are and how your team is engaged, and it may differ between two businesses using the identical setup.

We keep a complete record of what was earned and when, available to both sides. [Decide which reporting Numal issues and in which jurisdictions — for example whether US contractor forms are generated, and at what threshold.]

9. Suspension and ending

Either side may stop at any time. An employee can unlink; a business can cancel. We may suspend an account where we reasonably believe section 8 has been breached, and will say why.

[Define what happens to pending payouts on suspension — held pending investigation, or forfeited? Forfeiture is aggressive and invites disputes; holding pending review is the fairer default.]

10. Liability, changes and law

[Standard limitation of liability, warranty disclaimers and indemnities to be drafted. Note that limiting liability for payments owed to employees may not be enforceable and should be looked at carefully.]

We'll give notice of material changes to these terms by email before they take effect.
